TERMS AND CONDITIONS OF USE

Please read these Terms and Conditions of Use ("Terms") carefully before accessing or using the Yavari website, online store, or related services.

These Terms are provided by Yavari LLC and its affiliated entities (collectively, "Yavari," "we," "us," or "our"). By accessing or using the Yavari website, online store, and associated tools and services (collectively, the "Yavari Store"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms govern your access to and use of the Yavari Store, including all information, materials, products, services, software, systems, and other resources made available through the platform.

These Terms also incorporate by reference any additional terms, conditions, and policies published by Yavari or otherwise provided to you, including our Privacy Policy.

1. ACCEPTANCE OF TERMS

By accessing or using the Yavari Store, you represent that you are of legal age to enter into these Terms.

If you are accessing or using the Yavari Store on behalf of a corporation, partnership, or other legal entity ("Organization"), you represent and warrant that you have the authority to accept these Terms on behalf of yourself and that Organization.

References to "you" or "your" in these Terms refer to both the individual user and any Organization on whose behalf the individual is acting.

Your continued use of the Yavari Store constitutes your acceptance of these Terms and any applicable amendments.

2. CHANGES TO THESE TERMS

Yavari reserves the right to modify, update, or revise these Terms at any time.

Changes will be posted on the Yavari Store or communicated through other appropriate channels. Unless otherwise stated or required by applicable law, changes will become effective upon notice.

Your continued access to or use of the Yavari Store after changes have been communicated constitutes your acceptance of the revised Terms.

We encourage users to review this page periodically to remain informed of any updates.

3. CHANGES TO THE YAVARI STORE

Yavari reserves the right to modify, update, suspend, or discontinue any part of the Yavari Store at its discretion.

This includes changes to website content, information, databases, graphics, images, audio and video materials, trademarks, service marks, trade names, logos, software, features, services, and other materials (collectively, the "Content").

We may also remove or restrict access to any Content or discontinue the availability of the Yavari Store, in whole or in part, at any time, with or without prior notice.

To the extent permitted by applicable law, discontinuing your use of the Yavari Store is your sole remedy for dissatisfaction with the platform or its Content.

4. ACCESSING THE YAVARI STORE

The Yavari Store is intended exclusively for authorized Yavari Distribution customers and legitimate business purposes.

Access to the online ordering platform requires an active Yavari customer account and authorized login credentials, including a user ID and password.

You agree to:

Keep your login credentials confidential and secure.
Use your account credentials only as authorized.
Not share your user ID or password with unauthorized individuals.
Notify Yavari promptly if you suspect unauthorized access, misuse, or a security breach involving your account.
Comply with all access restrictions and permissions established by Yavari administrators.

You are responsible for activities conducted through your account and for any misuse of your login credentials, except to the extent otherwise required by applicable law.

Yavari Store operates within a secure web environment and may use security technologies, including firewall protection and Secure Socket Layer (SSL) encryption, to help protect information transmitted through the platform.

5. RESTRICTIONS ON ACCESS

You represent and warrant that all information submitted in connection with your access to or use of the Yavari Store is accurate, complete, and truthful to the best of your knowledge.

Yavari reserves the right, at its sole discretion and to the extent permitted by law, to suspend or terminate your access to all or part of the Yavari Store, with or without notice, for reasons including:

Unauthorized use of a username or password.
Violation of these Terms.
Submission of false, misleading, or incomplete information.
Conduct that may compromise the security or integrity of the Yavari Store.
Any other activity that Yavari reasonably considers harmful to its business, customers, suppliers, or operations.

Once access has been terminated, you may not attempt to access the Yavari Store without Yavari's prior written authorization.

Termination of access does not affect Yavari's ownership of its intellectual property, proprietary rights, or other rights established under these Terms. Restrictions concerning the use and treatment of Content will continue to apply.

6. LICENSE TO ACCESS AND USE

Subject to your compliance with these Terms, Yavari grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Yavari Store and its Content solely for authorized business purposes and personal use associated with your account.

No other rights to access, reproduce, distribute, modify, or commercially exploit the Yavari Store or its Content are granted without Yavari's prior written consent.

Yavari makes no representation that the Yavari Store or its Content is appropriate or available for use outside the United States.

Users accessing the Yavari Store from outside the United States do so at their own initiative and are responsible for complying with applicable local laws and regulations.

You may not access, retrieve, copy, or use any portion of the Yavari Store through automated systems or mechanisms, including indexing agents, spiders, scrapers, bots, or web crawlers, without Yavari's express prior written authorization.

You may not remove, alter, or obscure any copyright notices, trademarks, author attributions, or other proprietary notices displayed on the Yavari Store or its Content.

7. USER RESPONSIBILITIES AND PROHIBITED ACTIVITIES

Your use of the Yavari Store must comply with all applicable local, state, federal, national, and international laws and regulations ("Applicable Laws").

By using the Yavari Store, you agree that you will not:

Interfere with, restrict, or disrupt another user's access to or enjoyment of the Yavari Store.
Upload, post, transmit, or distribute content that is threatening, harassing, hateful, defamatory, fraudulent, obscene, or otherwise unlawful or objectionable.

Systematically download, copy, collect, scrape, data mine, or otherwise retrieve website content through automated or manual means without Yavari's prior written consent.
Circumvent or interfere with the navigation, security, or functionality of the Yavari Store.
Collect or harvest information about other users without proper authorization.
Remove or modify any copyright, trademark, or other proprietary rights notices.

Yavari reserves the right to suspend or terminate accounts and access privileges if it determines that a user has violated these requirements.

8. INFORMATION SUBMITTED THROUGH THE YAVARI STORE

All information submitted through the Yavari Store is subject to Yavari's Privacy Policy.

You represent and warrant that any information you provide is accurate, complete, and current to the best of your knowledge.

You agree to promptly update any information that becomes inaccurate, incomplete, or outdated.

You are responsible for ensuring that information submitted through your account is provided lawfully and with any necessary authorization.

9. USER FEEDBACK AND SUBMISSIONS

Yavari welcomes feedback, ideas, suggestions, proposals, and other information relating to the improvement or expansion of its website, products, services, or operations ("Feedback").

By voluntarily submitting Feedback to Yavari, you grant Yavari an irrevocable, perpetual, non-exclusive, transferable, worldwide, fully paid, royalty-free license, including the right to sublicense, to use, reproduce, modify, publish, display, distribute, translate, adapt, and incorporate such Feedback into other materials or works for any purpose, including commercial, promotional, and advertising purposes.

You represent and warrant that you have the necessary rights and authority to submit the Feedback and grant the rights described above.

You also grant Yavari the right, but not the obligation, to use the name you provide in connection with your Feedback, subject to applicable law.

You remain responsible for the legality, accuracy, originality, and appropriateness of any Feedback you submit.

10. PRODUCT ORDER PLACEMENT

Customers with valid ordering permissions may place product orders through the Yavari Store.

All payment obligations, purchasing requirements, delivery arrangements, and other conditions relating to product orders are governed by separate agreements between you and Yavari.

These Terms do not replace, modify, or supersede any existing customer, distribution, purchasing, or supply agreements between the parties.

Rebates, Discounts, and Net Pricing

Certain eligible Yavari Store customers may qualify for rebates, discounts, or other purchasing incentives. These benefits may result in the display of estimated or potential "net pricing" in the ordering and product catalog sections of the Yavari Store.

Any displayed net price is provided for informational and reference purposes only and represents potential savings, not a guaranteed final price.

Please note:

Rebates and discounts are not guaranteed and may depend on purchasing patterns, eligibility, and compliance with the terms and conditions of the applicable supply agreement.
Rebate amounts and credits may change from time to time and are subject to the applicable contractual requirements.
Displayed net pricing may not reflect the final amount payable or the actual rebate earned.

Compliance with Applicable Discount and Rebate Laws

Yavari intends to establish and maintain business relationships that comply with applicable federal and state laws, including the federal Anti-Kickback Statute, 42 U.S.C. § 1320a-7b(b), and applicable discount safe harbor provisions under 42 C.F.R. § 1001.952(h).

Where applicable, customers receiving rebates, discounts, or other price reductions agree to:

Fully and accurately disclose applicable discounts or price reductions in cost reports or claims for reimbursement submitted to Medicare, Medicaid, or other healthcare and third-party payer programs when such disclosure is required by law.
Maintain appropriate documentation relating to discounts, rebates, and price reductions and provide such documentation to the U.S. Department of Health and Human Services or relevant state agencies upon request, as required by applicable law.
Accurately report pricing and applicable price reductions in connection with federal or state pricing surveys, including the National Average Drug Acquisition Cost (NADAC) survey, where applicable.

Customers are responsible for understanding and fulfilling their own reporting and documentation obligations under applicable laws and regulations.

11. OWNERSHIP OF INTELLECTUAL PROPERTY

All rights, titles, and interests in and to the Yavari Store and its Content are owned by Yavari or licensed to Yavari by third parties.

The Content includes, but is not limited to:

Website text, graphics, and images.
Logos, trademarks, and service marks.
Trade names and trade dress.
Software and related technology.
Databases and other proprietary materials.
Other original content and intellectual property.

All such materials are protected by applicable intellectual property laws and international treaties.

Accessing or using the Yavari Store does not transfer any ownership rights or intellectual property interests to you.

You may not reproduce, distribute, modify, publish, or commercially exploit any protected Content without Yavari's prior written permission or the permission of the applicable rights holder.

If you believe that material available through the Yavari Store infringes your copyright, please follow the procedures outlined in our Copyright Policy below.

12. COPYRIGHT POLICY AND DMCA NOTICES

Yavari LLC respects intellectual property rights and responds to claims of copyright infringement in accordance with the Digital Millennium Copyright Act of 1998 ("DMCA").

Copyright Infringement Claims

If you believe that any material available through the Yavari Store infringes your copyright, you may submit a written notification ("DMCA Notice") to our designated Copyright Agent.

In accordance with Section 512(c)(3) of the DMCA, your notice must include:

Your physical or electronic signature, or the signature of an authorized representative.
Identification of the copyrighted work you believe has been infringed. If multiple works are involved, provide a representative list.
Identification of the material you believe is infringing, with sufficient information for Yavari to locate it.
Your contact information, including your full name, mailing address, telephone number, and email address, if available.
A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its representative, or applicable law.
A statement that the information contained in your notice is accurate.
A statement, under penalty of perjury, that you are the copyright owner or are authorized to act on behalf of the copyright owner.

Failure to include the required information may result in an ineffective DMCA Notice.

Under Section 512(f) of the DMCA, individuals who knowingly and materially misrepresent that content is infringing may be held liable for damages, including costs and attorneys' fees.

Counter-Notification Procedures

If you believe that content you submitted to the Yavari Store was removed or disabled because of a mistake or misidentification, you may submit a written counter-notification ("Counter-Notice") to our designated Copyright Agent.

Your Counter-Notice must include:

Your physical or electronic signature.
Identification of the material that was removed or disabled and the location where it appeared before removal or disabling.
Your full name, mailing address, telephone number, and email address, if available.
A statement, under penalty of perjury, that you have a good-faith belief the material was removed or disabled because of a mistake or misidentification.
A statement consenting to the jurisdiction of the appropriate Federal District Court and agreeing to accept service of process from the party who submitted the original DMCA Notice or that party's authorized representative.

Upon receipt of a valid Counter-Notice, Yavari may forward a copy to the original complaining party.

In accordance with the DMCA, Yavari may restore the removed material within the applicable statutory period if the original complaining party does not initiate legal action within ten (10) business days after receiving the Counter-Notice.

Knowingly submitting a materially false Counter-Notice may result in liability under Section 512(f) of the DMCA.

Repeat Infringers

Yavari maintains a policy of disabling or terminating the accounts of users who repeatedly infringe the intellectual property rights of others, where appropriate.

13. THIRD-PARTY MATERIALS AND EXTERNAL LINKS

The Yavari Store may provide access to third-party information, products, services, websites, or other materials ("Third-Party Materials").

Such access may be provided through external links, integrations, or other website functionality.

Yavari does not own, control, endorse, or assume responsibility for Third-Party Materials, including their:

Accuracy and completeness.
Reliability and timeliness.
Validity and legality.
Quality and usefulness.
Security and safety.
Intellectual property rights.

Third-Party Materials may contain inaccurate, incomplete, misleading, or deceptive information.

Yavari is not obligated to monitor third-party content and reserves the right to restrict or disable access to such materials at any time.

Your use of Third-Party Materials is entirely at your own risk. Yavari shall not be responsible for any loss or damage arising from your access to or use of third-party websites, services, or materials, to the extent permitted by applicable law.

We encourage you to review the applicable terms of use and privacy policies of any third-party websites you visit.

14. CONFIDENTIALITY

You agree to maintain the confidentiality of all non-public information made available to you by Yavari through the Yavari Store ("Confidential Information").

Confidential Information includes, but is not limited to:

Product information.
Pricing and discount information.
Customer and supplier information.
Business records and operational information.
Other non-public proprietary or commercially sensitive information.

You agree to:

Keep all Confidential Information strictly confidential.
Not disclose Confidential Information to unauthorized third parties.
Use Confidential Information only for legitimate internal business purposes.
Limit access to employees who have a legitimate business need to know the information.
Instruct authorized employees to maintain confidentiality and refrain from disclosing information to consultants or other third parties without Yavari's prior written permission.

Confidential Information does not include information that:

Is publicly available through no act or omission by you.
Was lawfully obtained by you before receiving it from Yavari without confidentiality restrictions.
Is lawfully provided to you by a third party without restrictions on its use or disclosure.
Is disclosed with Yavari's prior written consent.

Nothing in these Terms grants you ownership or other rights to Confidential Information beyond the limited rights expressly provided herein.

You acknowledge that Confidential Information remains the property of Yavari or its applicable licensors.

Unauthorized use or disclosure of Confidential Information may cause significant harm to Yavari. Accordingly, Yavari reserves the right to seek injunctive relief and pursue any other remedies available under applicable law.

15. SECURITY

Yavari takes commercially reasonable measures to help secure and protect information transmitted to and from the Yavari Store.

However, no internet transmission, electronic communication, or information storage system can be guaranteed to be completely secure.

Accordingly, Yavari does not guarantee that information transmitted through the Yavari Store will always remain secure or free from unauthorized access.

Users are responsible for maintaining the confidentiality of their account credentials and promptly reporting suspected security incidents.

16. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

Disclaimer of Warranties

Your use of the Yavari Store is at your own risk.

Although Yavari makes reasonable efforts to maintain the availability, accuracy, integrity, and security of the platform, we do not guarantee that:

The Yavari Store will always be available or uninterrupted.

YAVARI EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT PERMITTED BY LAW.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YAVARI LLC AND ITS AFFILIATES SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO:

Your access to or use of the Yavari Store.
Your inability to access or use the platform.
Errors, omissions, or inaccuracies in website Content.
Loss of profits, data, goodwill, or business opportunities.
Loss of use, property damage, or business interruption.
Products or services made available through the Yavari Store.

Time Limit for Claims

To the extent permitted by applicable law, any claim or cause of action arising from or relating to the Yavari Store or these Terms must be brought within one (1) year after the claim arises.

17. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Yavari LLC, its affiliates, officers, directors, employees, representatives, consultants, agents, suppliers, and vendors from and against any claims, liabilities, damages, judgments, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:

Reasons for suspension or termination may include:

Upon termination or suspension, your right to access and use the Yavari Store will immediately cease.

Yavari may deactivate or delete your user ID, password, account, and associated materials, subject to applicable legal and contractual retention requirements.

Any provisions intended to survive termination, including confidentiality, intellectual property rights, limitation of liability, indemnification, and applicable dispute resolution provisions, will remain in effect.

22. MISCELLANEOUS PROVISIONS

Entire Agreement

These Terms, together with the Yavari Privacy Policy and any applicable agreements incorporated herein, constitute the entire agreement between you and Yavari concerning your access to and use of the Yavari Store.

These Terms supersede all previous or contemporaneous agreements, understandings, or communications, whether written or oral, relating to the same subject matter, except for separate agreements that expressly govern specific business transactions or relationships.

Governing Law

These Terms are governed by and interpreted in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles, regardless of your location.

Jurisdiction and Venue

Any dispute arising out of or relating to these Terms or your use of the Yavari Store will be subject to the exclusive jurisdiction of the state and federal courts located in Miami, Florida, USA.

You agree to waive any objection to the jurisdiction or venue of these courts, including objections based on inconvenient forum, to the extent permitted by applicable law.

Severability

Assignment

Yavari may assign, transfer, or sublicense its rights and obligations under these Terms without restriction, subject to applicable law.

No Waiver

A failure or delay by either party to enforce any provision of these Terms will not constitute a waiver of that provision or any other rights.

Any waiver of a breach or default will not constitute a waiver of any previous or subsequent breach or default.

Force Majeure

Yavari will not be held responsible for any delay or failure to perform its obligations resulting from circumstances beyond its reasonable control.

Such circumstances may include natural disasters, acts of God, strikes, labor disputes, lockouts, communication line or equipment failures, power outages, internet service interruptions, earthquakes, and other unforeseen events.

Survival

Any provisions that by their nature are intended to remain effective after the termination of these Terms will continue in effect, including provisions concerning confidentiality, intellectual property, liability limitations, indemnification, and dispute resolution.

23. ACKNOWLEDGMENT AND ACCEPTANCE

BY ACCESSING OR USING THE YAVARI STORE, OR BY PLACING AN ORDER THROUGH THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

IF YOU DO NOT AGREE TO THESE TERMS, YOU SHOULD DISCONTINUE YOUR USE OF THE YAVARI STORE.
